Terms of Service
The short version
This summary is here to help you read the Terms. It is not a substitute for them, and the full text below controls.
- Feezible is a decision aid for architects and design professionals. It produces estimates. It is not professional, financial, legal, or accounting advice, and you are responsible for every fee, proposal, staffing plan, and contract you make.
- Your project data belongs to you. We do not sell it, and we do not use it to train AI models. Feezible does not use AI to produce its results.
- Paid plans renew automatically until you cancel. You can cancel from your account page at any time, and access continues to the end of the period you paid for. Fees are non-refundable except where the law requires otherwise.
- “Lifetime” Pro means for as long as BTG offers Feezible, not for your lifetime or ours.
- The Service is provided “as is.” Our liability is capped, and you agree to indemnify BTG for claims arising from your use of the Service.
- Disputes go to individual binding arbitration, not to court, and not as a class action. You can opt out of arbitration within 30 days of accepting these Terms. See Section 22.
1. Agreement to these Terms
These Terms of Service (the “Terms”) form a legally binding agreement between you and Barbieri Technology Group LLC, a Pennsylvania limited liability company doing business as BTG LLC (“BTG,” “we,” “us,” or “our”), governing your access to and use of Feezible, including the websites at feezible.us, the Feezible application, its exports, emails, and related services (together, the “Service”).
You accept these Terms by creating an account, by checking a box or clicking a button that references them, by purchasing a plan, or by otherwise accessing or using the Service. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
Business use. The Service is designed for and offered to architects, design firms, and other professionals for business purposes. By using it, you represent that you are using it in a professional or business capacity and not as a consumer for personal, family, or household purposes.
Eligibility. You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are barred from doing so under applicable law or if we have previously terminated your account.
Using the Service for an organization. If you accept these Terms on behalf of a firm, company, or other organization, you represent that you have authority to bind it, and “you” includes that organization. If you do not have that authority, you personally accept these Terms and are responsible for your use of the Service.
2. Definitions
- “Account” means the account you create to use the Service.
- “BTG Parties” means BTG and its affiliates, and each of their members, managers, owners, officers, employees, contractors, agents, licensors, service providers, successors, and assigns.
- “Firm Workspace” means a shared team space created under a Firm plan.
- “Model Engine” means the Feezible project budget and staffing model engine, including its formulas, default values, typology and construction-type catalogs, presets, role rate guidance, benchmarks, and logic.
- “Outputs” means the results the Service produces from your inputs, including on-screen results, fee and staffing estimates, sheet counts, charts, and PDF and CSV exports.
- “Your Content” means the information and materials you or your team members submit to the Service, such as project names, inputs, scenarios, rates, presets, calibration records, logos, and branding.
3. The Service
Feezible helps design professionals estimate and test project fees, sheet counts, staffing, and phase budgets. The Model Engine is deterministic: it applies documented formulas and the assumptions you select to the inputs you enter. It does not use artificial intelligence or machine learning to produce Outputs, and it makes no automated decisions about you. The same inputs produce the same results. The formulas behind the results are described in the user guide and in the math validation export available on paid plans.
Features, limits, and plan contents are described on the pricing page and may change. We may add, change, or remove features, update the Model Engine, revise default values and presets, and change the design of the Service. Updates to the Model Engine can change the Outputs produced from the same inputs; saved scenarios record the engine version used, and changes are summarized in the revisions log.
We may offer features labeled beta, preview, or early access. They are provided for evaluation, may be incomplete or unreliable, and may be changed or withdrawn at any time without notice.
4. Professional judgment; no advice
Feezible produces estimates to support your professional judgment. It does not replace it.
You acknowledge and agree that:
- Outputs are estimates based on generalized assumptions, industry heuristics, and the inputs you provide. They are not quotes, guarantees, predictions of actual cost, labor, or schedule, or statements of any standard of care.
- Default rates, hours-per-sheet values, phase splits, typology and construction-type modifiers, presets, and benchmarks are general references. They may not reflect your market, region, firm, staff, project, client, or the current economy, and you are responsible for reviewing and adjusting them.
- BTG is not an architecture, engineering, accounting, financial advisory, or law firm. Nothing in the Service is architectural, engineering, financial, accounting, tax, insurance, or legal advice, and no professional or fiduciary relationship is created between you and BTG.
- You are solely responsible for every decision you make using the Service, including the fees you propose or accept, contracts you sign, staffing and hiring decisions, schedules, the scope you commit to, compliance with your licensing and professional obligations, and anything you communicate to clients, consultants, or others.
- You should independently verify Outputs before relying on them and consult qualified advisors where appropriate.
BTG is not responsible for any loss, including an under-priced fee, cost overrun, unprofitable project, lost bid, dispute with a client, or professional liability claim, that results from reliance on Outputs.
5. Accounts and security
You must provide accurate and complete registration information and keep it current. You are responsible for keeping your password confidential, for all activity under your Account, and for the actions of anyone you allow to use it. Accounts are for a single named individual; you may not share login credentials. Notify us immediately at support@feezible.us if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your Account that results from your failure to safeguard your credentials.
6. Plans, billing, and renewal
6.1 Plans
We offer a Free plan and paid plans (currently Pro, billed monthly or annually; Firm, billed monthly; and a limited Lifetime Pro offer). Plan features and prices are shown on the pricing page at the time of purchase. Free plan Outputs are watermarked and cannot be saved or exported.
6.2 Payment
Payments are processed by Stripe, Inc. We do not receive or store your full card number. By purchasing a paid plan, you authorize us and Stripe to charge your payment method for the fees shown at checkout, plus applicable taxes. You are responsible for all sales, use, value-added, and similar taxes, other than taxes on BTG’s income. Prices are in U.S. dollars unless stated otherwise.
6.3 Automatic renewal
Monthly and annual subscriptions renew automatically at the end of each billing period for the same period, at the then-current price, and your payment method will be charged at each renewal until you cancel. You can cancel at any time from your Account page or by emailing support@feezible.us. Cancellation takes effect at the end of the current paid period, and you keep paid features until then. Canceling stops future charges; it does not refund the current period.
6.4 Refunds
Except where required by law or expressly stated in writing by BTG, all fees are non-refundable, including for partial periods, unused features, downgrades, and accounts suspended or terminated for breach of these Terms. We may, at our sole discretion, issue a refund or credit in a particular case; doing so does not obligate us to do so again.
6.5 Price changes
We may change prices for new purchases at any time. For existing subscriptions, we will give you at least 30 days’ notice by email before a price increase takes effect at your next renewal. If you do not cancel before the increase takes effect, you agree to the new price.
6.6 Lifetime Pro
Lifetime Pro is a one-time purchase, limited to the number of purchases stated in the offer, that provides Pro plan features for the life of the Service, meaning for as long as BTG (or a successor) makes Feezible generally available. It does not mean the lifetime of the purchaser, and it does not include features, plans, or products we later offer outside the Pro plan. Lifetime Pro is personal to the purchasing individual and may not be transferred, resold, or shared. If BTG discontinues the Service, Lifetime Pro ends with it, and no refund or other compensation is owed. Lifetime Pro may be terminated without refund for breach of these Terms.
6.7 Failed payments and chargebacks
If a payment fails, we may retry the charge, and we may downgrade or suspend paid features until payment succeeds. If you dispute a charge with your card issuer instead of contacting us first, we may suspend your Account while the dispute is resolved. You remain responsible for undisputed amounts owed.
6.8 Complimentary access
We may provide complimentary, promotional, or trial access at our discretion. Complimentary access has no cash value and may be modified or ended by us at any time.
7. Firm workspaces and teams
The person who purchases a Firm plan is the “Firm owner.” The Firm owner, and any admins the Firm owner appoints, control the Firm Workspace: they can invite and remove members, manage shared rate libraries, presets, and branding, and manage the subscription. Seat limits are set by the plan.
- The Firm owner is responsible for the Firm plan’s fees, for the conduct of its members, and for ensuring it has the right to invite each person it invites and to share Your Content with its members.
- Content shared into a Firm Workspace is visible to its members according to their roles, and may remain available to the Firm Workspace after a member leaves or is removed.
- If a member leaves or is removed, that person loses access to the Firm Workspace and Firm features. If the Firm subscription ends, members revert to the plan they hold individually.
- Disputes between members of a firm, or between a firm and its current or former personnel, about access to or ownership of content are for the firm to resolve. BTG may follow the instructions of the Firm owner.
8. Your Content
8.1 You own Your Content
As between you and BTG, you retain all rights, title, and interest in Your Content. We do not claim ownership of it.
8.2 The license you give us
You grant BTG a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content only as needed to provide, secure, maintain, and support the Service for you and your Firm Workspace, to comply with law, and to enforce these Terms. This license ends when Your Content is deleted from the Service, except for residual copies in backups that are deleted in the ordinary course, as described in the Privacy Policy.
8.3 What we will not do
- We do not sell, rent, or license Your Content to anyone.
- We do not use Your Content to train, fine-tune, or improve any artificial intelligence or machine-learning model, whether ours or a third party’s.
- We do not publish Your Content or share it with other customers, except with members of your own Firm Workspace as described above.
8.4 Aggregated and de-identified data
We may create aggregated or de-identified statistics about how the Service is used (for example, the number of scenarios saved or which features are used most) that do not identify you, your firm, your clients, or any specific project, and we may use them to operate, analyze, and improve the Service. We will not attempt to re-identify such data. We will not use calibration records, project fees, or rates from Your Content to build benchmarks or defaults offered to other customers unless we first obtain your permission.
8.5 Your responsibilities
You represent and warrant that you have all rights, permissions, and consents needed to submit Your Content and to let us process it under these Terms and the Privacy Policy, and that Your Content and your use of it do not violate any law, contract, confidentiality obligation, or third-party right. If Your Content includes information about your clients or projects, you are responsible for complying with any confidentiality obligations you owe. Please do not submit sensitive personal information (such as government identification numbers, health information, or financial account numbers) to the Service; it is not designed for it.
9. Outputs and exports
Subject to these Terms and payment of applicable fees, you may use, copy, modify, and share Outputs generated from Your Content for your business purposes, including in proposals to your clients. Outputs you have already exported remain yours to use after your plan ends. BTG retains its rights in the Model Engine, templates, layouts, and any BTG branding that appear in Outputs, and grants you a non-exclusive, perpetual license to use them as part of those Outputs.
You may not remove, obscure, or alter watermarks on Free plan Outputs, or present Outputs as having been reviewed, certified, or endorsed by BTG. Firm branding on exports must be branding you are entitled to use. When you send Outputs to a client or anyone else, you do so as your own work product and on your own responsibility, and BTG is not a party to, and has no obligation under, any agreement between you and them.
10. BTG intellectual property
The Service, the Model Engine, and all software, formulas, methodologies, default values, catalogs, presets, documentation, designs, text, graphics, and the Feezible and BTG names, logos, and trademarks are owned by BTG or its licensors and are protected by intellectual property laws. Subject to these Terms, BTG grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your subscription for your internal business purposes. All rights not expressly granted are reserved.
11. Acceptable use
You agree not to, and not to allow anyone else to:
- copy, reproduce, extract, or systematically collect the Model Engine, its formulas, default values, catalogs, or presets, or use the Service to build or train a competing product or dataset;
- reverse engineer, decompile, or attempt to derive source code or underlying logic from the Service, except where applicable law expressly permits it despite this restriction;
- resell, sublicense, rent, lease, or offer the Service to third parties as a service bureau, or share an Account among multiple people;
- circumvent plan limits, seat limits, watermarks, rate limits, access controls, or payment;
- probe, scan, or test the vulnerability of the Service, or breach security or authentication measures, except as permitted by a written security testing agreement with BTG;
- interfere with or disrupt the Service, including by uploading malware or sending excessive automated requests;
- access the Service by automated means (bots, scrapers, crawlers) other than through features we provide;
- upload content that infringes intellectual property or other rights, or that is unlawful, defamatory, or harmful;
- send invitations to people who have not agreed to receive them, or use the Service to send spam;
- impersonate any person or misrepresent your affiliation with any person or firm; or
- use the Service in violation of any applicable law or regulation.
We may investigate suspected violations and take any action we consider appropriate, including removing content, suspending or terminating Accounts, and cooperating with law enforcement.
12. Feedback
If you send us suggestions, ideas, or other feedback about the Service, you grant BTG a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use and incorporate that feedback without restriction or compensation to you. Feedback does not include Your Content, and we will not identify you as the source of feedback publicly without your permission.
13. Third-party services
The Service relies on third-party providers, including Supabase (hosting, database, and authentication), Stripe (payments), and our web and email host. Payment transactions are also subject to Stripe’s terms. The Service may contain links to third-party websites or resources. BTG does not control and is not responsible for third-party services, content, or practices, and your use of them is at your own risk and subject to their terms.
14. Privacy and data
Our Privacy Policy describes what personal information we collect, how we use and share it, how long we keep it, and your rights. For Your Content in a Firm Workspace, the firm decides what is stored and who can see it, and BTG processes that content on the firm’s behalf. Where a separate data processing agreement is required by law for your use of the Service, contact us and we will provide one.
15. Security
We use reasonable administrative, technical, and physical safeguards designed to protect the Service and Your Content, which are described in the Privacy Policy. No method of transmission or storage is completely secure, and we cannot guarantee that unauthorized access, loss, or disclosure will never occur. You are responsible for securing your own devices, networks, and credentials. If we learn of a security incident affecting your personal information, we will notify you as required by applicable law.
16. Availability and backups
We aim to keep the Service available but do not guarantee any particular uptime, and the Service may be interrupted for maintenance, updates, failures of third-party providers, or events beyond our control. Unless we have agreed otherwise in writing, we provide no service level commitment and no support obligation beyond responding to email at support@feezible.us in a reasonable time. You are responsible for keeping your own copies of Outputs and other information you need; we recommend exporting important scenarios regularly. BTG is not liable for loss or corruption of Your Content.
17. Suspension and termination
By you. You may stop using the Service at any time, cancel your subscription from your Account page, and ask us to delete your Account by emailing support@feezible.us.
By us. We may suspend or terminate your access to all or part of the Service, with or without notice, if you breach these Terms, if your payment fails, if your use creates a security, legal, or operational risk to BTG, other users, or third parties, if required by law, or if we discontinue the Service. Where practical, and unless the reason for termination makes it inappropriate, we will give you notice and an opportunity to export Your Content. If we discontinue the Service for reasons other than your breach, we will give you at least 30 days’ notice and refund any prepaid fees for the unused portion of a monthly or annual subscription period. Lifetime Pro purchases are governed by Section 6.6.
Effect of termination. When your Account ends, your right to use the Service ends. We will delete Your Content as described in the Privacy Policy, and we have no obligation to retain it after that. Sections that by their nature should survive termination survive, including Sections 4, 6 (for amounts owed), 8.4, 9, 10, 12, and 18 through 29.
18. Disclaimer of warranties
THE SERVICE, THE MODEL ENGINE, AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BTG PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. THE BTG PARTIES DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PROJECT, OR THAT ANY RESULT, FEE, PROFIT, OR OUTCOME WILL BE ACHIEVED. NO ADVICE OR INFORMATION OBTAINED FROM BTG OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
19. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(A) IN NO EVENT WILL THE BTG PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, FEES, CONTRACTS, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, LOSS OR CORRUPTION OF DATA, COST OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM RELIANCE ON OUTPUTS, IN EACH CASE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF A BTG PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(B) THE TOTAL AGGREGATE LIABILITY OF THE BTG PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (1) THE AMOUNTS YOU PAID TO BTG FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (2) ONE HUNDRED U.S. DOLLARS (US $100).
(C) THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND BTG; BTG WOULD NOT PROVIDE THE SERVICE AT ITS CURRENT PRICES WITHOUT THEM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the BTG Parties’ liability is limited to the smallest extent the law permits. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or for gross negligence or willful misconduct where the law does not permit it to be limited.
20. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the BTG Parties from and against any and all claims, demands, actions, suits, investigations, and proceedings brought by any third party (including your clients, consultants, employees, team members, and any government authority), and all related losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and costs), arising out of or relating to:
- your access to or use of the Service or any Outputs, including any fee, proposal, bid, contract, staffing plan, schedule, or other decision made in reliance on them;
- Your Content, including any claim that it infringes or misappropriates a third party’s rights or was submitted in breach of a confidentiality obligation;
- your breach of these Terms or of any representation or warranty in them;
- your violation of any law, regulation, or professional or licensing obligation;
- the acts or omissions of anyone who uses the Service through your Account or your Firm Workspace; or
- any dispute between you and your clients, team members, or other third parties.
BTG may choose to control the defense and settlement of any matter subject to indemnification, at your expense, and you will cooperate with us. You may not settle any such matter in a way that imposes an obligation on or admits fault by a BTG Party without BTG’s prior written consent. This Section survives termination of these Terms and your use of the Service.
21. Release
To the maximum extent permitted by law, you release the BTG Parties from all claims, demands, and damages of every kind, known and unknown, arising out of or connected with any dispute between you and a third party (including your clients, team members, and other users) relating to the Service. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” You waive any similar law of any other jurisdiction.
22. Dispute resolution and arbitration
Please read this Section carefully. It affects your legal rights. By agreeing to these Terms, you and BTG each agree to resolve disputes through final and binding individual arbitration instead of in court. You are giving up your right to go to court to assert or defend your rights, your right to have a judge or jury decide your claims, and your right to participate in a class action or other representative proceeding. Arbitration has more limited discovery and appeal than a court. You may opt out as described in Section 22.7.
22.1 Informal resolution first
Before starting arbitration or any other proceeding, the party with a claim must send the other a written notice describing the claim and the relief sought. Notices to BTG go to support@feezible.us with the subject line “Legal Notice.” The parties will try in good faith to resolve the dispute for 60 days after the notice is received. Any limitation period is tolled during those 60 days.
22.2 Agreement to arbitrate
Except as provided in Section 22.5, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and BTG, including questions about the existence, scope, validity, interpretation, or enforceability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect, before a single arbitrator. The Federal Arbitration Act governs this Section 22.
22.3 Procedure
The arbitration will be held in Philadelphia, Pennsylvania, or, at the election of the party bringing the claim, by videoconference or on written submissions alone where the claim is for less than US $25,000. Each party will bear its own attorneys’ fees and costs, except that the arbitrator may award fees and costs to the prevailing party where the law or these Terms allow it. Filing and arbitrator fees are allocated under the AAA rules. The arbitrator may award any individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent needed to resolve that party’s individual claim. Judgment on the award may be entered in any court of competent jurisdiction. The arbitration is confidential except as needed to enforce the award or as required by law.
22.4 Class action and jury trial waiver
You and BTG each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person or preside over any form of representative proceeding. If this class waiver is found unenforceable as to a claim, that claim (and only that claim) must be severed and brought in court under Section 23, and it will be stayed pending the outcome of any individual arbitrable claims. To the extent any claim proceeds in court, you and BTG each waive the right to a jury trial.
22.5 Exceptions
Either party may (a) bring an individual claim in small claims court if it qualifies and remains there, and (b) seek temporary or preliminary injunctive relief in court to protect its intellectual property, confidential information, or the security of the Service, pending the arbitrator’s decision.
22.6 Time limit
To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arises; otherwise it is permanently barred.
22.7 Your right to opt out
You may opt out of this agreement to arbitrate by emailing support@feezible.us within 30 days after you first accept these Terms, with the subject line “Arbitration Opt-Out” and the email address associated with your Account. If you opt out, disputes will be resolved in court under Section 23, and the jury waiver in Section 22.4 still applies to the extent permitted by law. Opting out does not affect any other part of these Terms.
22.8 Changes to this Section
If we make a material change to this Section 22, the change will not apply to a dispute of which we had notice before the change took effect.
23. Governing law and venue
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules, and, where applicable, the federal laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 22, any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you and BTG consent to the personal jurisdiction of and venue in those courts and waive any objection based on inconvenient forum.
24. Copyright complaints
We respect intellectual property rights. If you believe material on the Service (such as an uploaded logo) infringes your copyright, send a notice to support@feezible.us with the subject line “Copyright Notice” that includes: your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and where it is located; your contact information; a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on the owner’s behalf. We may remove material and terminate the Accounts of repeat infringers.
25. Export controls and sanctions
You may not use, export, or re-export the Service in violation of U.S. export control and sanctions laws. You represent that you are not located in a country subject to comprehensive U.S. sanctions and are not on any U.S. government list of prohibited or restricted parties.
26. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. For material changes, we will give at least 30 days’ notice by email to the address on your Account or by a notice in the Service before the change takes effect, unless the change is required sooner by law or addresses a security issue. Changes do not apply retroactively. If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Service and may cancel your subscription.
27. Electronic communications and notices
You consent to receive communications from us electronically, including by email and through the Service, and agree that such communications satisfy any legal requirement that they be in writing. We will send notices to the email address associated with your Account; you are responsible for keeping it current. Transactional and account emails (such as receipts, security alerts, and notices of changes) are part of the Service and cannot be turned off while you have an Account. Notices to BTG must be sent to support@feezible.us.
28. General terms
- Entire agreement. These Terms, the Privacy Policy, and any order or plan terms shown at checkout are the entire agreement between you and BTG about the Service and supersede all prior agreements and understandings. If you and BTG sign a separate written agreement for the Service, it controls to the extent it conflicts with these Terms.
- Order of precedence. If these Terms and the Privacy Policy conflict on how personal information is handled, the Privacy Policy controls. Otherwise these Terms control.
- Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government action, utility or internet failures, cyberattacks, and failures of third-party providers.
- Relationship. You and BTG are independent contractors. No partnership, joint venture, employment, agency, or fiduciary relationship is created.
- Third-party beneficiaries. The BTG Parties are intended third-party beneficiaries of Sections 18 through 21. There are no other third-party beneficiaries.
- Interpretation. “Including” means “including without limitation.” Headings and the summary at the top are for convenience only and do not affect interpretation. The English version of these Terms controls.
29. Jurisdiction-specific terms
New Jersey. Nothing in these Terms is intended to limit any right of a New Jersey resident that cannot be waived or limited under New Jersey law. If any provision of these Terms, such as a disclaimer, limitation of liability, or indemnity, is unenforceable against a New Jersey resident under New Jersey law, that provision does not apply to that person to that extent, and the rest of these Terms remain in effect.
California. Under California Civil Code Section 1789.3, California users are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.
European Economic Area, United Kingdom, and Switzerland. If mandatory consumer protection law where you live gives you rights that these Terms cannot exclude, nothing in these Terms affects those rights.
Other jurisdictions. Some jurisdictions do not allow certain warranty disclaimers, liability limitations, or other provisions in these Terms. Those provisions apply only to the extent permitted where you are located.
